Stampli Rewards Program Terms

These Stampli Rewards Program Terms (“Rewards Terms”) govern Stampli participation in the Rewards Program and describe how You may be eligible for, accrue, earn, redeem, and forfeit Rewards. By opening and maintaining a Stampli Account in good standing, You are automatically enrolled in the Rewards Program. Capitalized terms used in these Rewards Terms have the meanings defined in the Stampli Master Services Subscription Agreement (“Stampli Agreement”). You may only participate in the Rewards Program if You accept all of these Rewards Terms.

1. Termination, Changes or Modification of Rewards Program

The Rewards Program is subject to change at any time. We may update or change eligibility criteria, restrictions, and requirements at any time. We may update these Rewards Terms at any time by posting an updated version on our Site. Please check the Rewards Terms legal disclosure page for any changes to Your eligibility to receive certain Rewards, or any changes to when, how, and under what conditions You may earn or redeem Rewards including restrictions on certain types of transactions, purchasing categories, and merchants from accrual of Rewards. Some Rewards may have additional terms and conditions as determined in Stampli’s sole discretion. If eligible, You are automatically enrolled.

2. Earning Rewards

2.1 Eligibility

To participate in the Rewards Program, You must:

· Have a Stampli Account in good standing;

· Maintain a Stampli Card;

· Otherwise comply with these Rewards Terms.

If Your Stampli Account is not in good standing for any reason, or we determine in our sole discretion that You are misusing the Rewards Program or have otherwise violated our Stampli Agreement or any of the terms, agreements, and policies incorporated by reference, You may be ineligible to earn or use Rewards, and You may forfeit any Rewards previously earned or accrued.

Available Rewards may vary based on the number or types of Services You use, how long You has been a Stampli customer, and other factors determined in our sole discretion. We may otherwise condition, restrict or limit available Rewards, and discounts in our sole discretion.

2.2 Cashbacks

Through the Rewards Program, You will earn cashback Rewards (“Rewards”) credits of 1% on new Qualifying Purchases on Your Stampli Card. Qualifying Purchases are determined by the use of your Stampli Card with that apply designated MCC codes and other transaction types that are eligible for Rewards as determined by the underlying card networks and our bank partner. Qualifying Purchases also means any new qualifying net retail purchase transactions (qualifying purchases less credits, returns and adjustments) charged to your Stampli Card. Qualifying Purchases may not include certain discounted interchange transactions, and do not include balance transfers, convenience checks, payments made for stored value cards such as gift cards and similar cards, wire transfers, money transfers, quasi cash or cash-equivalent items (e.g., travelers checks, Rewards and any other items that serve as cash or are convertible to cash), and similar products that may be converted to cash, cash advances, fraudulent/unauthorized transactions, overdraft advances, and purchases made when your Stampli Card is not in good standing. We reserve the right to determine in our sole discretion whether a particular transaction is a Qualifying Purchase.

A Qualifying Purchase is determined to qualify for the additional or modified Rewards if the merchant assigns the appropriate MCC code to the transaction information received by WEX Bank. Stampli is not responsible for inaccurate reporting by participating merchants.

2.3 Reversals and Failure to Accrue

The accrual of Rewards may be netted against transaction reversals (such as refunds or chargebacks) or where we determine, in our sole discretion, that the conditions required for accrual of Rewards were not satisfied. If this results in a negative Rewards balance, we may subtract a proportionate number of Rewards from existing Rewards balances or any future Rewards that would otherwise accrue to Your Stampli Account.

2.4 Additional Rewards Terms

Certain Rewards may be subject to additional terms and conditions that will be provided to You if applicable. For example, Stampli may determine Rewards redemption ratios and the timing of such redemption. Any Rewards partnerships with third-party service providers may also be also subject to additional terms and conditions determined by the third-party service providers. You are responsible for reviewing and understanding any such additional terms and conditions, and we disclaim any liability for claims that may arise in connection with third-party service providers.

3. Using and receiving Rewards

3.1 Rewards are not Property

Rewards are not Your property. Any Rewards accrued by Users will be reflected in Stampli Account in accordance with these Rewards Terms. Rewards are not transferable to any third party or any other Stampli Account, unless otherwise specified by Stampli in any Rewards Program. Any other attempt to transfer Rewards is void and You will immediately forfeit any Rewards that You attempt to transfer.

3.2 Redeeming Rewards

We display Rewards, redemption options, and other available benefits in Your Stampli Account. Redemption options are subject to change and are subject to the terms, conditions, and availability of offers by external companies. Presently, Redemptions occur automatically. We will process accrued Rewards on a monthly basis and transfer such Rewards to the bank account connected to your Stampli Account (“Linked Account”).

We may limit use or redemption of Rewards to Authorized Users or Accounts. Stampli is not responsible for and will not monitor Your Linked Account and any transfer to such Linked Account, or the use or redemption of Rewards. You are solely responsible for ensuring that the any actions taken by Users to use or redeem Rewards do not violate You policies or rules and any applicable industry practice, ethical obligations, or laws or regulations applicable to Your specific business.

3.3 Redemption Ratios

We may change Rewards redemption ratios or revoke availability of redemption in our sole discretion with or without notice.

3.4 Taxes

You understands that it is responsible for determining and obtaining appropriate tax treatment for any Rewards it redeems, and You are solely responsible for any taxes arising from or related to any earned Rewards. Stampli will not report any income or earnings related to Rewards to a taxing authority, except where expressly required by law.

4. Losing Rewards

4.1 Disqualification

You may be disqualified from participating in the Rewards Program if at any time:

· any of Your payments You owe to Stampli are past due, (b) any prior payments were late,

· misuse any Services,

· engage in self-dealing (such as using Stampli Cards to pay for products or services provided by You, your affiliates, your beneficial owners, or other persons affiliated with You),

· engage in other prohibited activities, breach of policies or other agreements with Stampli, or

· attempt to otherwise game or misuse Rewards, or the Rewards Program.

Where we determine, in our sole discretion, that You no longer satisfies the requirements for participation in the Rewards Program, we may disqualify You and You may lose any Rewards that You may have accrued.

4.2 Payment Failure, Delinquency, Suspension, or Termination

In the event of a (a) payment failure, (b) delinquency, (c) suspension, or (d) termination of Your Stampli Account, Your accrued Rewards may be forfeited, and we may freeze Your ability to redeem Rewards. We may refuse any request to use Rewards, or terminate Your participation in the Rewards Program if Your Stampli Account is not in good standing, if any payments are past due, if Your Stampli Account has been terminated, or if You have otherwise breached any of Your obligations under the Stampli Agreement and applicable Programs. You lose all accrued Rewards when Your account is terminated, either by You or us. In the event that Your Stampli Account is delinquent, You do not accrue Rewards.

5. General Provisions

5.1 Termination of the Rewards Program

Stampli may terminate the Rewards Program at any time and in its sole discretion. In the event that the Stampli Agreement is terminated, these Rewards Terms will immediately terminate.

5.2 Other Legal Terms

Stampli may assign, pledge, or otherwise transfer the administration of these Rewards Terms without providing Notice to You. You release Stampli from all liability for Your use of Rewards, rebates, discounts, and for Your participation in the Rewards Program. Separately, You release Stampli from liability for third party claims in accordance with these Rewards Terms.
